Robert K. "Bob" Alvarez

Robert Alvarez has practiced law in Memphis, Tennessee, for over 30 years. Mr. Alvarez concentrates his law practice in the areas of tax law, commercial transactions, heathcare law, estate planning and probate. He counsels physicians and other healthcare professionals and entities regarding federal and state regulatory issues, mergers, acquisitions, consolidations and medical practice operations. He represents numerous small and medium size companies in matters relating to their businesses. Mr. Alvarez represents families in structuring their estate planning and wealth transfer needs and is experienced in probate matters. He has a degree in accounting and earned his LLM in Taxation from New York University Law School. Transactions: Counseling individuals and companies with respect to the structuring of business transactions, preparation of agreements related to closely-held businesses, including formation and operation of corporations, limited liability companies and partnerships, preparation of various agreements between the company and its owners and employees, preparation of legal documents between business owners and third party contractors, preparation of offering materials and exempt transactions under federal and state securities laws, and counseling individuals and companies relating to real estate transactions, including preparation of legal documents relating to such transactions.

Tax: Counseling individuals and business entities with respect to the tax implications of formation, sale, purchase, merger, operation of business entities, and real estate and business transaction, and counseling and representing individuals and companies in tax audits and tax collection matters before the IRS.

Healthcare: Counseling clients regarding managed care contracting, organization of IPAs, PPM transactions, operations of IPAs and PHOs, HIPAA, health care plan structuring and operation, fraud and abuse issues arising in contracting relationships and transactions, physician practice formation and operation, and physician practice mergers and acquisitions.

Tax Exempt Organizations: Counseling private schools, churches, public charities and private foundations with respect to formation and operation.

Estate Planning: Counseling individuals, families and their businesses in the charitable giving, estate planning and probate areas, including drafting wills and trusts to effectuate lifetime and testamentary transfer of assets and representing and counseling of families, estates, trusts and other organizations with respect to administration of such entities.
